Mutual Non-Disclosure Agreement

Parties: INiity Ltd ("Company") and Hammad Saim ("Recipient")
1. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any technical, business, or financial information disclosed by either party, including but not limited to: source code, algorithms, system architecture, API specifications, customer data, pricing models, and strategic plans.
2. OBLIGATIONS
The Recipient agrees to:
- Hold Confidential Information in strict confidence;
- Not disclose to any third party without prior written consent;
- Use Confidential Information solely for authorized project work;
- Return or destroy all materials upon termination.
3. EXCLUSIONS
This Agreement does not apply to information that: (a) Is publicly available through no fault of the Recipient; (b) Was known to the Recipient prior to disclosure; (c) Is independently developed without reference to Confidential Information.
4. TERM
This Agreement remains in effect for three (3) years from the Effective Date, or until terminated by mutual written consent. Obligations regarding Confidential Information disclosed during the term shall survive termination.
5. REMEDIES
The Recipient acknowledges that breach of this Agreement may cause irreparable harm to the Company for which monetary damages would be inadequate. The Company shall be entitled to seek injunctive relief, specific performance, and any other remedies available at law or in equity, without the necessity of proving actual damages or posting any bond.
6. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the federal and state courts located in Delaware.
Acceptance Attestation
By executing this agreement below, I confirm that I have read, understood, and agree to be bound by all terms and conditions set forth in this Mutual Non-Disclosure Agreement. I acknowledge that this digital signature carries the same legal weight as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.).
